Founding Member VIP Upgrade & Payment Authorization Agreement

This Agreement is entered into between ALL-ONE GYM (“Gym”) and the undersigned Member (“Member”).

By signing this Agreement, Member voluntarily elects the Founding Member VIP Membership and agrees to the following payment terms, cancellation requirements, and facility rules.

1. Membership Payments

First Payment: $150.00 Due Today

Member expressly authorizes ALL-ONE GYM to charge $150.00 today to the payment method on file or another payment method provided by Member to activate the Founding Member VIP Membership.

Monthly Membership Dues: $150.00 Beginning November 1, 2026

Member authorizes ALL-ONE GYM and its payment processor to automatically charge $150.00 on November 1, 2026, and on the first day of each month thereafter, until cancellation becomes effective under Section 3.

Maintenance Fee: $50.00

Member authorizes ALL-ONE GYM to automatically charge a $50.00 annual maintenance fee five months later, and annually thereafter, while the membership remains active.

2. VIP Membership Privileges

Upon activation, Member will receive the following VIP privileges, subject to Gym policies, availability, and safety requirements:

• 24-hour access Monday through Friday.
• Saturday and Sunday access from 5:00 AM to 10:00 PM.
• Access to designated VIP parking, subject to availability and applicable parking requirements.
• Access to the designated VIP entrance.
• Overnight security monitoring during designated security hours.
• One accompanied guest, subject to Section 5.

3. Cancellation — 30 Days’ Written Notice

Member must provide ALL-ONE GYM with at least thirty (30) days’ written notice to cancel the membership.Notice must be submitted through the cancellation method designated in Member’s applicable membership agreement or Gym cancellation policy.

Cancellation becomes effective 30 days after ALL-ONE GYM receives the written notice, unless Member requests a later date or applicable law requires otherwise.

Member remains responsible for membership dues and any applicable fees properly due before the cancellation effective date. A scheduled payment falling within the 30-day notice period may still be charged under the applicable membership agreement, subject to applicable law.

Stopping attendance, telling a trainer or guest, removing a payment method, or having a payment declined does not constitute cancellation.

ALL-ONE GYM will not charge recurring membership dues for periods beginning after the cancellation effective date. Any refund or proration required by applicable law will apply.

Nothing in this section limits any cancellation rights available under applicable law.

4. Facility Rules and Member Responsibilities

Member agrees to comply with ALL-ONE GYM’s facility rules, posted instructions, and reasonable staff directions, including the following:

• Check in using the required Gym procedures each visit.
• Use only Member’s assigned access credentials. Access cards, codes, and credentials may not be shared, loaned, or transferred.
• Do not admit unauthorized individuals or allow others to follow through a secured entrance without checking in.
• Use the facility only during Member’s authorized access hours.
• Follow equipment instructions and safety requirements. Do not misuse equipment.
• Re-rack weights, return equipment, and clean equipment after use.
• Wear appropriate workout clothing and footwear.
• Treat staff, members, and guests respectfully. Harassment, threats, violence, and disruptive conduct are prohibited.
• Do not use the facility while impaired by alcohol or drugs.
• Respect others’ privacy. Do not photograph or record others without their consent.
• Use designated parking and entrances in accordance with posted requirements.
• Promptly report damaged equipment, unsafe conditions, injuries, or access concerns.
• Do not conduct unauthorized personal training, solicitation, or other commercial activities.

Access outside staffed hours does not guarantee that staff or immediate assistance will be available. In an emergency, call 911.

ALL-ONE GYM may suspend or revoke membership access or guest privileges for safety concerns, misconduct, unauthorized access, or violations of these rules, subject to the applicable membership agreement and law.

5. Accompanied Guest Rules

Member may bring one (1) accompanied guest when Member trains at ALL-ONE GYM, subject to these conditions:

• Member must remain physically present with the guest throughout the visit.
• The guest may not enter or remain in the facility without Member.
• The guest must check in according to Gym procedures before entering.
• The guest must provide valid identification when required.
• The guest must sign all required liability waivers, releases, acknowledgments, and facility documents before using the facility.
• The guest must satisfy applicable age and access requirements.
• The guest must comply with all Gym rules and staff directions.
• Member may not give the guest access credentials or permit independent entry.
• Guest access may not be sold, transferred, shared, or used for commercial purposes.

Member is responsible for ensuring that their guest follows Gym rules and procedures. ALL-ONE GYM may deny or revoke guest access for safety concerns, misconduct, policy violations, abuse of the guest privilege, or other lawful reasons.

6. Payment Authorization

Member expressly authorizes ALL-ONE GYM and its payment processor to charge the payment method on file as follows:

Member authorizes the recurring charges described above without requiring separate approval for each transaction and agrees to maintain a valid payment method on file.

I AUTHORIZE ALL-ONE GYM TO CHARGE $150.00 TODAY TO ACTIVATE MY FOUNDING MEMBER VIP MEMBERSHIP.

I AUTHORIZE ALL-ONE GYM TO AUTOMATICALLY CHARGE $150.00 ON NOVEMBER 1, 2026, AND ON THE FIRST DAY OF EACH MONTH THEREAFTER, UNTIL CANCELLATION BECOMES EFFECTIVE.

I AUTHORIZE ALL-ONE GYM TO AUTOMATICALLY CHARGE A $50.00 ANNUAL MAINTENANCE FEE FIVE MONTHS LATER, AND ANNUALLY THEREAFTER.

7. Billing Questions and Refunds

If Member believes a billing error has occurred, Member is encouraged to contact ALL-ONE GYM promptly so the matter can be reviewed and addressed.

ALL-ONE GYM may provide this signed Agreement and relevant transaction records to its payment processor, card issuer, bank, or other appropriate party as evidence of payment authorization. Any amounts properly owed remain subject to lawful collection remedies.

Payments properly charged under this Agreement are non-refundable except as required by applicable law or the applicable membership agreement.

Failure to use the facility, VIP privileges, or guest privilege does not by itself entitle Member to a refund, credit, or reversal of a valid charge.

Nothing in this Agreement limits Member’s right to dispute an incorrect or unauthorized charge or waives any consumer right that cannot lawfully be waived.

8. Existing Agreements

Except for the membership price, fees, privileges, and cancellation terms expressly addressed in this Agreement, Member’s existing membership agreement, liability waiver, facility rules, and other previously executed agreements remain in effect.

If there is a direct conflict concerning a term expressly addressed here, this Agreement controls while the VIP membership remains active, subject to applicable law.

9. Member Acknowledgment and Acceptance

By signing below, Member confirms that:

• I voluntarily elect the Founding Member VIP Membership.
• I authorize a $150.00 first payment today.
• I authorize recurring membership dues of $150.00 beginning November 1, 2026, and on the first day of each month thereafter.
• I authorize a $50.00 annual maintenance fee five months later, and annually thereafter.
• I understand that cancellation requires 30 days’ written notice.
• I understand and agree to the VIP benefits, facility rules, and accompanied guest conditions.
• I have had the opportunity to review this Agreement and voluntarily agree to its terms.
